Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

     On May 7, 2008, Mr. Robert F. Murchison informed Crosstex Energy, L.P. (the “Partnership”) of his intent to resign from the Board of Directors (the “Board”) of Crosstex Energy GP, LLC (the “Company”), the general partner of Crosstex Energy GP, L.P., the general partner of the Partnership, effective immediately. Mr. Murchison’s resignation is not due to any disagreements with the Partnership or the Company. Mr. Murchison will continue to serve as a member of the Board of Directors of Crosstex Energy, Inc.
