Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

     On November 7, 2007, Mr. Frank M. Burke informed Crosstex Energy, L.P. (the “Partnership”) of his intent to retire from the Board of Directors of Crosstex Energy GP, LLC (the general partner of Crosstex Energy GP, L.P., the general partner of the Partnership) effective as of December 31, 2007. On November 7, 2007, Mr. James C. Crain succeeded Mr. Burke as the Chairman of the Audit Committee of the Board of Directors. Mr. Burke will remain on the Audit Committee through the end of 2007. Mr. Burke’s retirement is not due to any disagreements with the Partnership or Crosstex Energy GP, LLC.
