Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On April 18, 2007, Crosstex Energy GP, LLC, the general partner of Crosstex Energy GP, L.P., the general partner of Crosstex Energy, L.P. (the “Partnership”), announced that James R. Wales, who currently serves as Executive Vice President — Commercial of Crosstex Energy GP, LLC, will be taking a personal leave of absence beginning on June 30, 2007. The Partnership expects the duration of Mr. Wales’ leave of absence to extend for approximately six months.
