Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On December 1, 2006, Crosstex Energy GP, LLC, the general partner of Crosstex Energy GP, L.P., the general partner of Crosstex Energy, L.P. (the “Partnership”), announced that A. Chris Aulds, who currently serves as the Executive Vice President — Public and Governmental Affairs of Crosstex Energy GP, LLC, will be taking a personal leave of absence beginning on January 1, 2007. The Partnership expects the duration of Mr. Aulds’ leave of absence to extend for six to nine months. Mr. Aulds will continue to serve in his capacity as Executive Vice President — Public and Governmental Affairs through the end of the 2006 calendar year.
